This Agreement shall constitute the entire Agreement between the
parties and contains all the agreements with the parties with
respect to the subject matter hereof.

Online CAD & Documentation Services, Inc. is not liable for
errors or omissions resulting from information or documents provided
by customers.

Online CAD & Documentation Services, Inc. is not liable for
the design or technical information contained in the drawings or
documentation provided to the customer. Design and technical
information is the sole responsibility of the customer.

Online CAD & Documentation Services, Inc. does not provide
“Sealed” documents of any kind.

This Agreement shall be subject to and governed by the laws of the
State of Illinois.

This Agreement shall be binding upon and insure to the benefit of
the parties and their respective heirs, successors, representatives,
and assigns.

Approval of final product shall not be unreasonably withheld.

Full payment of invoiced amount is due within 15 days of the invoice
date*.
*Invoices, which have not been paid within the 15-day time limit,
will have their total amount increased by 10% for the week following
the due date. At this point, a revised invoice will be submitted to
the customer showing the increased amount due. This invoice will
maintain the original invoice date. This 10% increase will continue
for each subsequent week that the invoice is not paid in full.

If any portion of this Agreement shall be, for any reason, invalid
or unenforceable, the remaining portion or portions shall
nevertheless be valid, enforceable, and carried into effect, unless
to do so would clearly violate the present legal and valid intention
of the parties hereto.
